NEOM and REFHYNE II: the commercial structure behind the investment
NEOM’s financing disclosure concentrates several roles in Air Products. REFHYNE II connects production and use within Shell. Those structures change what an investment milestone tells a reader.
Air Products appears in NEOM’s financial-close announcement as a shareholder, EPC contractor and system integrator, and exclusive long-term ammonia offtaker. REFHYNE II connects an electrolyser investment with consumption at Shell’s own Rheinland site. In both cases, the relationship between production and demand is partly organized through the sponsor’s wider business. The form of that relationship is different.
This provides a more informative basis for comparing the investments than plant size. At NEOM, a project company, a sponsor-offtaker and a downstream distribution partner have distinct responsibilities. At Rheinland, the investment decision can consider hydrogen production alongside the products made at the receiving site. The evidence to follow is how each arrangement progresses from an investment commitment to delivered product.

NEOM: financing, construction and purchase roles meet
Air Products’ May 2023 Form 8-K describes the sponsors as owning approximately one-third each of the joint venture. It reports financing of about 27% sponsor cash contributions and shareholder loans, and 73% non-recourse project financing. The same filing identifies Air Products as the turnkey contractor and exclusive buyer under a 30-year take-if-tendered agreement.
The offtaker is thus also an investor and a participant in delivering the facility. For a reader assessing a new project announcement, these roles provide specific evidence about who has committed to the production chain. The announced financing structure shows how capital was to be provided, while the purchase relationship identifies the commercial counterparty for the plant’s ammonia. Each answers a different part of the development question.
Concentrating roles can make coordination more direct, but it also makes the same company’s ability to perform relevant at several points. A problem in construction and a problem in the offtaker’s downstream market can affect the project through different contractual routes. Assessing that exposure would require detailed contract protections. The public filing supports a clear account of the roles; it does not disclose the full allocation of loss between them.
The financing mix separates capital entering the project from the revenue expected under the offtake. Air Products participates in both relationships and in delivering the facility. Its ability to perform is consequently relevant to investment, construction and sales at the same project. That concentration of roles is a specific feature of the disclosed structure, even though the contracts would be needed to allocate losses in a particular failure scenario.
The July 2026 Yara announcement concerns the next commercial relationship, marketing and distribution. Air Products’ chief executive described a route through Yara’s global supply chain. That statement adds evidence about access to customers after project-level offtake. It is a different milestone from the 2023 financing close and from the first delivery of product.

REFHYNE II: investment value is assessed at the industrial site
Shell’s July 2024 announcement identifies EU renewable-hydrogen-use targets, Germany’s regulatory framework and Horizon 2020 funding as enabling conditions for REFHYNE II. It says the project exceeds the return hurdle for its Renewables & Energy Solutions business, without publishing a return figure. The hydrogen is intended for lower-carbon products such as transport fuels at Rheinland.
These statements put the investment inside an existing industrial business. The site provides the use for the hydrogen, and Shell identifies a policy rationale for changing that supply. The reported return hurdle is also a company assessment of investment acceptability. It should be read with that attribution: the announcement does not provide the model needed for an independent reconstruction of the return.
A separate long-term sale to an outside hydrogen customer is therefore not the only useful demand evidence for this case. The intended site use and Shell’s investment decision show how production and consumption are being considered together. The relevant operating evidence will be the amount of qualifying hydrogen supplied to the site and its use in the planned products.
Shell’s output target remains conditional on renewable-electricity availability. That condition connects the investment case to operation: an installed electrolyser has to obtain the appropriate power and fit the receiving process’s requirements. An update on commissioning alone would establish a different fact from an update on sustained production and use.

Comparable questions, different evidence
The table separates dated commitments from intended output. NEOM’s financial close establishes a reported financing milestone. REFHYNE II’s final investment decision establishes Shell’s decision to proceed. Those labels should remain intact when a project database is used to compare development progress.
| Question | NEOM | REFHYNE II |
|---|---|---|
| What investment milestone is evidenced? | Financial close announced May 2023 | Final investment decision announced July 2024 |
| Who takes the product? | Air Products, disclosed 30-year take-if-tendered ammonia offtake | Shell’s Rheinland operations |
| Which subsequent customer route is disclosed? | Yara marketing and distribution agreement reported July 2026 | Use in the site’s lower-carbon products |
| What output is targeted? | Up to 1.2 million tonnes of ammonia a year | Up to 44 tonnes H2/day, conditional on renewable power |
| Which future milestone is stated? | May 2023 filing: expected on-stream in 2026. Current ACWA page: first product availability in 2027. | Start-up expected in 2027 |

What the next operating evidence would add
There is also a change in the wording of NEOM’s schedule across the sources. Air Products’ May 2023 filing expected the facility to come on-stream in 2026; ACWA’s current project page expects first product availability in 2027. The dates belong to differently named milestones, and the sources do not reconcile them. Retaining both dated statements is more useful than treating either as evidence of actual delivery.
Both current project pages point to 2027, with ACWA referring to first product availability and Shell to start-up. For NEOM, initial saleable ammonia and reporting on deliveries would connect the financed production chain to its customer route. For REFHYNE II, production and site-use disclosures would connect Shell’s investment rationale to actual industrial supply. These are different observations even if the projects report them in the same year.
The comparison exposes two different sources of demand evidence. NEOM’s record identifies an external project buyer that is also a sponsor and delivery participant; Shell’s record explains an investment serving its own product business. In the first case, a review needs the purchase relationship and the sponsor’s other obligations. In the second, it needs the receiving operation and the stated investment rationale. That distinction helps a market-intelligence team decide which company disclosures to follow as each facility starts supplying product.
